1. Acceptance of Terms

By accessing or using the Onboard Peptides, Inc. ("Onboard," "we," "us," or "our") website, platform, and services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Services.

These Terms apply to all visitors, users, clinicians, clinics, and others who access or use the Services. By using the Services, you represent that you are a licensed healthcare provider or authorized representative of a licensed clinic.

2. Description of Services

Onboard provides a platform that connects licensed healthcare clinics with vetted compounding pharmacies for the procurement of peptide products. Our Services include:

  • A curated catalog of peptide products
  • Clinician training and educational resources
  • Order management and fulfillment coordination
  • Patient support and concierge services
  • Compliance and regulatory guidance tools

Onboard is not a pharmacy, medical practice, or healthcare provider. We do not prescribe, dispense, or provide medical advice. All clinical decisions remain the sole responsibility of the licensed clinician.

3. Eligibility and Account Registration

To use the Services, you must be a licensed healthcare provider or an authorized representative of a licensed clinic in good standing. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your account credentials secure and confidential
  • Notify us immediately of any unauthorized use of your account
  • Be solely responsible for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or provide false information.

4. Orders and Payments

All orders placed through the Onboard platform are subject to acceptance by our vetted compounding pharmacy partners. Pricing is displayed at the time of order and is subject to change without notice.

Payment terms are net 30 days unless otherwise agreed in writing. Late payments may be subject to interest charges. All fees are exclusive of applicable taxes.

Orders for compounded medications are non-returnable and non-refundable once processing has begun, except as required by law or at our sole discretion.

5. Intellectual Property

All content on the Onboard platform, including text, graphics, logos, images, software, and educational materials, is the property of Onboard or its licensors and is protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Services for their intended purpose. You may not copy, modify, distribute, sell, or lease any part of the Services without our prior written consent.

6. Prohibited Conduct

You agree not to:

  • Use the Services for any unlawful purpose
  • Impersonate any person or entity or misrepresent your credentials
  • Interfere with or disrupt the integrity or performance of the Services
  • Attempt to gain unauthorized access to any part of the Services
  • Reverse engineer, decompile, or disassemble any software
  • Share your account credentials with any third party
  • Use the Services to order products for personal, non-clinical use
  • Upload or transmit viruses, malware, or other harmful code

7. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, secure, or error-free, or that any defects will be corrected. Clinical decisions and patient outcomes are the sole responsibility of the prescribing clinician.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ONBOARD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

Our total liability to you for any claims arising under these Terms shall not exceed the amount you paid to Onboard in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Onboard and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Services
  • Any clinical decisions or patient outcomes
  • Your violation of these Terms
  • Your violation of any third-party rights

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.

Any dispute arising under these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in Austin, Texas, administered by the American Arbitration Association.

11. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services will immediately cease.

Sections that by their nature should survive termination shall survive, including but not limited to Intellectual Property, Disclaimer of Warranties, Limitation of Liability, and Indemnification.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the website. Your continued use of the Services after changes are posted constitutes your acceptance of the revised Terms.
